- Waiver
of implied warranties - With respect to all Web Services,
Coupon Builder® provides services to Client on an "as is"
basis. Coupon Builder® EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES,
INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE AND NON-INFRINGEMENT.
- Waiver
of Damages - Coupon Builder® assumes no liability
for any loss, injury, claim, liability or damage of any kind including
loss of business, lost profits, lost data, or failure of security
resulting in any way from Client's use of the web services, including
without limitation any errors or omissions, any content, any delay
or failure of performance, or the unavailability or interruption
of service. Accordingly, Coupon Builder® SHALL NOT BE LIABLE
FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE
OR EXEMPLARY DAMAGES OF ANY KIND WHATSOEVER, WHETHER OR NOT FORSEEABLE
(INCLUDING, WITHOUT LIMITATION, ATTORNEYS' FEES) IN ANY WAY DUE
TO, RESULTING FROM, OR ARISING IN CONNECTION WITH THE INTERNET
SERVICES OR THE FAILURE OF A PARTY TO PERFORM ITS OBLIGATIONS,
REGARDLESS OF ANY PARTY'S NEGLIGENCE. Client ALSO AGREES TO INDEMNIFY
AND HOLD HARMLESS Coupon Builder® FROM ANY CLAIMS RESULTING
FROM THIS AGREEMENT. Termination of Coupon Builder® service
shall be Client's sole and exclusive remedy for any and all damages
or injury.
- Termination
- Coupon Builder® reserves the right of unilateral service
revocation. In the event that Coupon Builder®, at any time,
believes that the service is being utilized by the Client in contravention
of these terms and provisions, Coupon Builder® may, at its
sole discretion, immediately discontinue such service to the client,
without liability other than for the refund of prorated service
fees.
- Anti-Spam
Policy - Coupon Builder® maintains a zero tolerance
policy towards the sending of spam email. Spam email is defined
as Unsolicited Commercial Email (UCE). In the event that you send
spam email to users without their permission, you risk immediate
cancellation of your account and forfeiture of all contacts in
that account. As a Coupon Builder® member, you understand
that Coupon Builder® does not condone nor tolerate the sending
of unsolicited or spam email by its members. You understand and
acknowledge that: You are solely responsible for mail received
by and/or sent on your behalf. Coupon Builder® will immediately
terminate your service and charge you a $500 clean-up fee for
violating this Spam Policy. You will not be eligible for a refund
when you have violated the Coupon Builder® Spam Policy. In
the event that you have received spam from a Coupon Builder®
account, please notify Coupon Builder® by sending a notice
to sales@couponbuilder.com.
- Term
of Use Revisions - Coupon Builder® may at any time
revise these Terms of Use by updating this posting. By using this
Site, you agree to be bound by any such revisions and should therefore
periodically visit this page to determine the then current Terms
of Use to which you are bound.
